1. Overview
These Terms of Service ("Terms") govern your use of the GreenRoom Flowers Inc. website and your purchase of products or services from GreenRoom Flowers Inc. through our website, Instagram, or other ordering channels operated by us.
Throughout these Terms, "GreenRoom Flowers," "we," "us," and "our" refer to GreenRoom Flowers Inc.
By accessing our website, placing an order, making a payment, or otherwise purchasing products or services from us, you agree to these Terms, together with our Return & Refund Policy, Privacy Policy, and any other policies or terms made available to you in connection with your purchase.
If you do not agree with these Terms, please do not use our website or place an order with us.
Nothing in these Terms is intended to limit or waive any rights that cannot legally be limited or waived under applicable consumer protection laws.
2. Eligibility
By placing an order, you represent that you have the legal capacity to enter into a binding agreement.
You agree to provide accurate, current, and complete information when placing an order.
We reserve the right to refuse or cancel orders where we reasonably suspect fraud, unauthorized payment activity, abuse, or other unlawful conduct.
3. Products & Availability
GreenRoom Flowers Inc. sells fresh flowers, bouquets, floral arrangements, plants, gifts, and other related products.
Flowers and plants are natural products. Their colour, size, shape, texture, maturity, and appearance may vary from photographs displayed on our website, Instagram, or other promotional materials.
Product availability may vary depending on season, market supply, weather conditions, supplier availability, and product quality.
We make reasonable efforts to display our products accurately, but photographs are intended to represent the general style and appearance of an arrangement and may not always represent the exact flowers or components delivered.
4. Flower & Product Substitutions
Due to the seasonal and perishable nature of flowers, specific varieties, colours, greenery, containers, wrapping, ribbons, or decorative elements may occasionally be unavailable.
Where reasonably necessary, GreenRoom Flowers Inc. may substitute unavailable items with products of comparable quality and value while making reasonable efforts to preserve the overall:

style;

colour palette;
-
size;
-
quality; and
-
value
of the arrangement ordered.
If a particular flower, colour, container, or design element is essential to your order, please contact us before ordering to confirm availability.
5. Orders
Orders may be placed through:

our website;

our official Instagram account; or
-
another ordering method expressly offered by GreenRoom Flowers Inc.
An order is not necessarily accepted merely because an order request has been submitted.
We may contact you if additional information, clarification, substitution approval, or payment verification is required.
We reserve the right to decline or cancel an order before fulfillment where reasonably necessary, including because of product unavailability, delivery limitations, pricing or listing errors, suspected fraud, or circumstances beyond our reasonable control.
If we cancel a paid order that we cannot fulfill, we will refund the applicable amount paid for the cancelled order.
6. Instagram Orders
Orders arranged through Instagram Direct Messages or another official GreenRoom Flowers Inc. social media channel are subject to these Terms and our applicable policies.
Before making payment, customers are responsible for reviewing the agreed:

product or arrangement;

price;
-
applicable taxes and charges;
-
delivery or pickup details;
-
recipient information;
-
delivery date;
-
card message; and
-
customization instructions.
Customers should retain their order confirmation and relevant correspondence.
7. Prices & Payment
Prices are displayed or communicated in Canadian dollars (CAD) unless otherwise stated.
Applicable taxes, delivery fees, service charges, customization charges, and other applicable charges may be added to the product price and will be disclosed where required before the customer completes the transaction.
The total amount payable will depend on the products and services selected.
Payment must be made using a payment method accepted by GreenRoom Flowers Inc.
We reserve the right to correct genuine pricing, description, or listing errors, subject to applicable law.
If an error affects an order that has already been placed, we may contact you before fulfilling the order to determine an appropriate resolution.
8. Online Purchases
Where an order constitutes an Internet agreement under applicable Ontario consumer protection legislation, GreenRoom Flowers Inc. will provide the disclosures and opportunities required by applicable law.
Before completing an eligible online transaction, customers will be given an opportunity to review applicable transaction information and correct errors.
Where required, a written copy or confirmation of the Internet agreement will be provided to the customer.
Nothing in these Terms limits statutory cancellation or refund rights available under applicable Ontario law.
9. Delivery
We offer delivery to locations within our available delivery area.
Customers are responsible for providing accurate and complete delivery information, including:

recipient's full name;

complete street address;
-
apartment or unit number;
-
buzzer or access code where applicable;
-
recipient's telephone number; and
-
relevant delivery instructions.
Delivery dates and times may be estimates unless we expressly confirm a specific delivery commitment.
Traffic, weather, road conditions, building access, recipient availability, unusually high order volumes, emergencies, and circumstances outside our reasonable control may affect delivery timing.
We will make reasonable efforts to complete deliveries according to the agreed order details.
10. Recipient Availability
The customer is responsible for ensuring that the recipient can reasonably receive the order at the delivery location.
Where appropriate, an order may be:

delivered directly to the recipient;
-
left with a concierge or reception desk;
-
left with another person at the delivery address;
-
left in a reasonably safe location; or
-
returned for another delivery attempt.
Whether flowers can safely be left unattended depends on circumstances including weather, temperature, building access, and the nature of the product.
Additional delivery charges may apply where another delivery attempt is required because the recipient was unavailable or the customer supplied incorrect or incomplete information.
11. Incorrect Address or Information
Customers are responsible for reviewing order information before completing their purchase.
GreenRoom Flowers Inc. is not responsible for failed or delayed delivery caused by incorrect or incomplete information provided by the customer, subject to applicable law.

We will make reasonable efforts to update the order, but changes cannot be guaranteed after preparation or delivery has begun.
12. Pickup Orders
Customers selecting pickup are responsible for collecting their order at the agreed location and within the agreed pickup period.
Fresh flowers and plants are perishable. GreenRoom Flowers Inc. cannot guarantee the condition of an order that is not collected within the agreed pickup period.
13. Cancellations, Returns & Refunds
Cancellations, returns, exchanges, replacements, and refunds are governed by our Return & Refund Policy, which forms part of these Terms.
Due to their perishable nature, fresh flowers and floral arrangements are generally final sale once delivered or picked up, subject to applicable law and the terms of our Return & Refund Policy.
Customers should contact us promptly regarding damaged, defective, materially incorrect, or otherwise problematic orders.
Nothing in these Terms or our Return & Refund Policy limits any cancellation, refund, or other consumer rights that cannot legally be waived.
14. Custom Orders
Custom arrangements are created according to information and preferences supplied by the customer.
Because flowers are natural and availability varies, custom arrangements may include reasonable substitutions.
Customers are responsible for ensuring that custom instructions, names, messages, dates, addresses, and other information supplied to us are accurate.
Custom and personalized products may be final sale once preparation has begun, subject to applicable law.
15. Weddings, Events & Corporate Orders
Weddings, events, corporate arrangements, subscriptions, and large-volume orders may be subject to additional terms, including:

deposits;
-
payment schedules;
-
cancellation deadlines;
-
design approvals;
-
minimum order requirements;
-
delivery and setup fees; and
-
separate refund conditions.
Where separate written terms are provided for such an order, those terms will apply together with these Terms. If there is a conflict concerning the specific event or custom service, the more specific written terms will govern to the extent permitted by law.
16. Care of Flowers & Plants
The lifespan of flowers and plants depends on numerous factors outside our control, including temperature, water quality, sunlight, handling, environment, and customer care.
Customers and recipients are responsible for following reasonable care instructions after delivery or pickup.
We do not guarantee a specific lifespan for flowers or plants unless expressly stated in writing.
17. Gift Cards
GreenRoom Flowers Inc. gift cards are subject to applicable Ontario law.
Unless an exception permitted by law applies, our gift cards do not expire.
Gift cards are generally not redeemable for cash or refundable except where required by law.
Any applicable restrictions or conditions will be disclosed when the gift card is purchased.
18. Promotions & Discount Codes
Promotions, discounts, coupon codes, and special offers may be subject to additional conditions.
Unless otherwise stated:

promotions cannot be combined;
-
discount codes have no cash value;
-
discounts apply only to eligible products;
-
delivery fees and other charges may be excluded; and
-
promotions may have stated start and end dates.
We reserve the right to cancel or refuse the use of a promotion where we reasonably determine that it has been used fraudulently or contrary to its stated terms.
19. Website Information
We make reasonable efforts to ensure that information on our website is accurate and current.
However, product availability, photographs, descriptions, pricing, and other information may occasionally contain errors or become outdated.
We may update or correct website content where necessary, subject to our obligations regarding orders and agreements already entered into.
20. Intellectual Property
Unless otherwise stated, the content created for the GreenRoom Flowers Inc. website and social media accounts, including our original:

photographs;

floral arrangement designs as depicted in our original content;

graphics;

logos;
-
branding;
-
written content; and
-
website materials
is owned by or licensed to GreenRoom Flowers Inc. and is protected by applicable intellectual property laws.
You may not reproduce, copy, commercially distribute, modify, or use our protected content without our permission, except where permitted by law.
21. Customer Content
If you voluntarily send or submit photographs, reviews, testimonials, comments, or other content to us, you remain responsible for the content you provide.
We will not use identifiable customer photographs or testimonials for advertising or promotional purposes without permission where consent is required by applicable law.
22. Third-Party Services
Our website or ordering process may use or link to third-party services, including payment processors, website platforms, social media platforms, mapping services, and delivery-related services.
Those third parties may have their own terms and privacy policies.
GreenRoom Flowers Inc. is not responsible for independent third-party websites or services that we do not control, subject to any responsibility that cannot legally be excluded.
23. Limitation of Liability
To the maximum extent permitted by applicable law, GreenRoom Flowers Inc. will not be liable for indirect, incidental, special, or consequential losses arising from circumstances outside our reasonable control.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by law.
Nothing in this section limits any rights or remedies available to consumers under applicable Ontario consumer protection legislation.
24. Force Majeure & Circumstances Beyond Our Control
GreenRoom Flowers Inc. will not be responsible for delays or failure to perform caused by circumstances reasonably beyond our control, subject to applicable law.
Such circumstances may include severe weather, road closures, accidents, power outages, supply disruptions, government restrictions, emergencies, or other unforeseen events.
Where such circumstances affect an order, we will make reasonable efforts to contact the customer and determine an appropriate solution.
25. Fraud & Misuse
We reserve the right to refuse or cancel orders that we reasonably believe involve:

fraud;

unauthorized payment methods;
-
false information;
-
abusive refund or replacement claims;
-
unlawful activity; or
-
misuse of our website or services.
This section does not restrict legitimate consumer complaints or statutory consumer rights.
26. Privacy
Personal information collected in connection with orders and use of our website is handled in accordance with our Privacy Policy and applicable Canadian privacy laws.
Customers are responsible for ensuring that they have an appropriate reason to provide us with another person's information, such as a recipient's name, address, or telephone number, for the purpose of fulfilling an order.
27. Changes to These Terms
We may update these Terms from time to time to reflect changes to our business practices, services, or applicable legal requirements.
The updated Terms will be posted on our website with a revised "Last Updated" date.
Changes will not retroactively alter the terms of a completed transaction except where permitted or required by law.
28. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
Nothing in this section limits any jurisdiction, venue, procedural right, or consumer protection available to a consumer that cannot legally be waived.
29. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
30. Entire Agreement
These Terms, together with our Return & Refund Policy, Privacy Policy, and any additional terms expressly agreed to for a particular order, constitute the agreement between the customer and GreenRoom Flowers Inc. regarding the applicable purchase or use of our services.
Nothing in this provision excludes representations, disclosures, rights, or obligations that cannot legally be excluded under applicable law.
